This paper examines selected challenges in the legal regulation of cross-border mergers and acquisitions (M&A) in the Republic of Uzbekistan. The analysis focuses on the relationship between national corporate reorganization procedures and foreign legal systems, the coordination of registration procedures, and the distinction between corporate-law and competition-law requirements. It substantiates the need for differentiated regulations of cross-border transactions according to their legal form. The paper proposes avenues for legislative improvement aimed at enhancing legal certainty without unjustified duplication of existing mechanisms.
